Terms of Service

These Terms of Service ("Terms") govern your use of the RouteScout mobile application and web platform ("Service") operated by RouteScout ("we," "our," or "us"). By accessing or using RouteScout, you agree to these Terms.

1. Acceptance of Terms

By creating an account or using RouteScout, you agree to be bound by these Terms. If you are using RouteScout on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

RouteScout is a B2B lead capture and management platform for trade shows and events. Features include badge scanning, lead routing, CRM synchronization, AI-powered outreach, and consent management.

3. Account Registration

  • You must provide accurate, complete registration information
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized access
  • You are responsible for all activity under your account
  • One account per individual; organizations may have multiple user accounts under one subscription

4. Subscription Plans and Billing

4.1 Plans

4.2 Free Trial

The Starter plan includes a 14-day free trial. No charge is made during the trial period. If you do not cancel before the trial ends, your payment method will be charged automatically.

4.3 Billing

  • All payments are processed by Stripe
  • Monthly subscriptions are billed on the same date each month
  • Annual subscriptions are billed upfront for the full year
  • Prices are in US Dollars and exclude applicable taxes
  • You authorize us to charge your payment method on file

4.4 Cancellation and Refunds

  • You may cancel your subscription at any time through the billing portal
  • Cancellation takes effect at the end of the current billing period
  • No prorated refunds for partial billing periods
  • Annual subscriptions: contact support within 14 days of purchase for a refund
  • Upon cancellation, you retain access until the end of your paid period

4.5 Usage Limits

Each plan has usage limits (badge scans, events). If you exceed your plan limits:

  • We will notify you when approaching limits (80% and 100%)
  • Scanning will be paused upon reaching the limit until the next billing cycle or plan upgrade
  • Lead data already captured is never deleted due to limit overages

5. Acceptable Use

You agree NOT to:

  • Use RouteScout for any unlawful purpose
  • Capture lead data without appropriate consent
  • Send spam or unsolicited communications through our outreach features
  • Attempt to gain unauthorized access to our systems or other users' data
  • Reverse engineer, decompile, or disassemble the Service
  • Use automated scripts or bots to access the Service (except through our API)
  • Resell or redistribute the Service without written permission
  • Upload malicious code, viruses, or harmful content
  • Violate any applicable data protection laws (GDPR, CCPA, CAN-SPAM, etc.)

6. Data Ownership and Intellectual Property

6.1 Your Data

You retain full ownership of all lead data, contact information, notes, and content you create or capture using RouteScout. We do not claim any ownership over your data.

6.2 Our Intellectual Property

RouteScout, including its software, design, logos, and documentation, is our intellectual property. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service as described herein.

6.3 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use RouteScout in accordance with these Terms and your subscription plan.

6.4 Feedback

If you provide feedback or suggestions, we may use them without obligation to you.

7. AI-Generated Content

RouteScout uses artificial intelligence (Anthropic Claude) to generate outreach message drafts. You acknowledge that:

  • AI-generated content is provided as suggestions and requires your review before sending
  • You are responsible for the content of any messages you approve and send
  • AI outputs may not always be accurate or appropriate
  • We do not guarantee the effectiveness of AI-generated outreach

8. CRM Integration

When you connect RouteScout to third-party CRMs (Salesforce, HubSpot, etc.):

  • You authorize us to sync data between RouteScout and your CRM
  • You are responsible for your CRM account and its terms of service
  • We are not responsible for data loss or errors caused by third-party CRM platforms
  • You may disconnect CRM integrations at any time

9. Service Availability

  • We target 99.9% uptime but do not guarantee uninterrupted service
  • Scheduled maintenance will be communicated in advance when possible
  • Enterprise plans include a formal Service Level Agreement (SLA)
  • We are not liable for downtime caused by third-party services, force majeure, or circumstances beyond our control

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • RouteScout is provided "AS IS" and "AS AVAILABLE"
  • We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement
  • Our total liability to you shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages
  • We are not liable for lost profits, lost data, or business interruption

11. Indemnification

You agree to indemnify and hold harmless RouteScout and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Content you capture, create, or send through the Service

12. Termination

12.1 By You

You may terminate your account at any time by canceling your subscription and contacting support.

12.2 By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • You fail to pay subscription fees
  • Your use poses a security risk to our platform or other users
  • Required by law

12.3 Effect of Termination

  • You may export your data within 30 days of termination
  • After 30 days, we may delete your data
  • Sections on liability, indemnification, and dispute resolution survive termination

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

13.2 Arbitration

Any disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Delaware or remotely.

13.3 Exceptions

Either party may seek injunctive relief in court for intellectual property violations or unauthorized data access.

13.4 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

14. App Store Terms

14.1 Apple App Store

If you download RouteScout from the Apple App Store:

  • These Terms are between you and RouteScout, not Apple
  • Apple has no obligation to provide maintenance or support
  • Apple is not responsible for any product warranties
  • Apple is not responsible for any claims related to the app
  • Apple is a third-party beneficiary of these Terms

14.2 Google Play Store

If you download RouteScout from Google Play:

  • These Terms are between you and RouteScout, not Google
  • Google has no obligation to provide support for the app
  • Google is not responsible for any claims related to the app

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via:

  • Email notification to account holders
  • In-app notification
  • Updated "Last Updated" date

Continued use after changes constitutes acceptance. If you disagree with changes, you may cancel your account.

16. General Provisions

  • Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and RouteScout
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect
  • Waiver: Failure to enforce any provision does not constitute a waiver
  • Assignment: You may not assign these Terms; we may assign them in connection with a merger or acquisition
  • Force Majeure: Neither party is liable for delays caused by circumstances beyond reasonable control
